    Biography

    Joanne Rapuano, a member of the firm’s Business Litigation Practice Group and Manufacturing Industry Team, focuses her practice on business and international trade compliance matters. Prior to joining Robinson+Cole, she handled trade compliance matters for United Technologies Corporation (UTC) and Sikorsky Aircraft Corporation, a Lockheed Martin Company.

    Trade Compliance / Regulation

    Ms. Rapuano provides clients with advice on how to comply with all trade regulations, including Export Administration Regulations (EAR) and International Traffic in Arms Regulations (ITAR). She also advises on U.S. import regulations, the Foreign Corrupt Practices Act (FCPA), Office of Foreign Assets Control (OFAC) matters, anti-boycotting rules, compliance programs and training, and trade association activities. She advises clients on the procedures required to ensure that non-U.S. citizens, or foreign nationals, do not have access to prohibited information, which includes helping with the set-up of technology, employment, and facility control plans.

    Prior to joining Robinson+Cole, Ms. Rapuano was the “empowered official” handling all export operations for one of the manufacturing facilities of an aircraft corporation, where she counseled and trained about 1,500 employees on trade regulations and compliance. She monitored trade regulations, policies, and guidelines for the company, and ensured controls were in place for full compliance. She also conducted internal compliance reviews to identify and remedy any potential violations.

    As part of her trade compliance experience, Ms. Rapuano provides general legal advice to foreign companies who are entering the U.S. market.

    In addition to her trade compliance experience, Ms. Rapuano has also handled complex commercial and employment litigation for corporate clients. She has defended litigation brought by the Securities and Exchange Commission (SEC) and the Financial Industry Regulatory Authority (FINRA).

    Ms. Rapuano contributes to the firm's Data Privacy + Security Insider blog.

    Ms. Rapuano has done pro bono work, including reviewing and drafting bylaws and a certificate of incorporation for the Norwich Figure Skating Club. She served as a clerk for Connecticut Superior Court Judge Thomas Corradino. Prior to becoming a lawyer, she set up and owned a successful New Haven, Connecticut-based packaging and shipping business for nine years.

      Experience

      • Oversaw all export operations for an aircraft corporation, and counseled about 1,500 employees on trade regulations and compliance. Monitored trade regulations, policies, and guidelines for the company, and ensured controls were in place to avoid non-compliance.   

      • Drafted licenses and agreements for commercial sales of civil and military aircraft for manufacturer. 

      • For an aircraft manufacturing company, drafted and improved export compliance procedures, hardware licenses, technical assistance agreements, and manufacturing license agreements.

      • Organized periodic export compliance reviews and audits for an aerospace and industrial manufacturer. Conducted export and licensing training, and monitored activities to determine compliance and licensing impact.

      • Provided guidance to multiple clients on how to comply with Export Administration Regulations (EAR) and International Traffic in Arms Regulations (ITAR).

      • Worked with the U.S. State Department for a successful completion of a compliance audit as a result of a Consent Agreement. 

      • Provided guidance for the Bureau of Industry & Security - Department of Commerce on export and reexport licenses.
