Katilee Boisvert represents companies in a variety of aspects of corporate and transactional law, including mergers and acquisitions, general corporate and commercial matters, and commercial financing. She is a member of the firm’s Business Transactions Group.
Mergers and Acquisitions
Katilee assists companies with corporate transactions, including acquisitions and dispositions and other strategic transactions, and has helped several companies with their large-scale mergers and acquisitions. She is intimately involved with reviewing how a business operates to assure that appropriate representations are being made and risks are being assessed for clients. She is also involved in the review, drafting and negotiation of the definitive agreements of a transaction. She recently assisted with representing a privately-held owner of multiple manufactured housing communities across the United States in connection with a strategic merger with and into a wholly-owned subsidiary of a public company. She also recently assisted with the representation of a company in the acquisition of a large-scale manufacturing company and its subsidiaries through a stock purchase.
General Corporate and Commercial Matters
Katilee’s practice involves providing advice on general corporate and business matters, including choice of entity, corporate governance, restructuring, and contract negotiation matters. She works closely with business clients in connection with purchase agreements, charter documents, stockholder agreements and operating agreements. She recently assisted in the formation of an entity and review of a partnership agreement with a company organized under the laws of England and Wales for the company to expand its operations into the United States.
Katilee has extensive experience representing clients in all aspects of secured lending, including mortgage financing and asset-based lending. She has represented borrowers, banks and other lenders in a variety of lending structures, which provides insight into how to best structure, negotiate and document financing transactions for her clients.
She recently represented borrowers with multiple multi-million dollar financing for the fit-out of surgery centers across New England, which involved extensive negotiation among multiple guarantors, borrowers, and owners.
Prior to joining the firm, Katilee practiced at a major business law firm in Hartford, Connecticut, where she worked on mergers and acquisition, corporate, commercial lending, commercial real estate and not-for-profit and healthcare matters.
