Megan E. Baroni

    Megan Baroni has extensive experience counseling clients on a wide variety of environmental, health, and safety issues. She frequently represents manufacturers and distributors and is a contributing author to the firm's Manufacturing Law Blog, focusing on environmental, health, and safety trends that will impact the industry.
    Environmental Compliance & Dispute Resolution 
    Megan is a trusted advisor on complex environmental compliance issues, including the investigation, remediation, and redevelopment of contaminated properties; chemical and waste management associated with business operations; management of contaminated building materials; and risk management in crisis situations. When disputes arise, Megan is a zealous advocate, working hand-in-hand with our clients to effectively manage and ultimately resolve them. Her deep understanding of the science at work in environmental cases helps make her truly knowledgeable about the issues at hand. She commonly works with experts in the field to develop a comprehensive strategy to support our clients’ goals and objectives. 
    Health and Safety Compliance & Dispute Resolution
    Megan frequently counsels clients on health and safety compliance in connection with their business operations. She helps clients develop and review health and safety plans and procedures, counsels them through self-audits, and assists with the inspection process. Megan also represents and defends clients before the Occupational Safety and Health Administration (OSHA), evaluating alleged occupational health and safety violations and defending against OSHA citations.
    In her transactional practice, Megan helps clients evaluate, manage, and limit environmental risk associated with business and property transactions. She manages due diligence, working with environmental consultants to identify known risks as well as design a plan to investigate the unknown. Megan is a keen negotiator, and with an understanding of her client’s objectives, she negotiates the allocation of environmental liability with an eye toward finding solutions to close the deal.

    • Experience


        Environmental Litigation

      • Representation of a large manufacturing company as plaintiff in federal cost recovery litigation, alleging Comprehensive Environmental Response, Compensation, and Liability Act (CERCLA) and state law claims. The Superfund site involved property owned by multiple entities and contamination, principally to groundwater, from multiple sources.

      • Lead counsel for a drum recycling company in a CERCLA action at a dioxin-contaminated sediment site where past and projected costs exceeded $150 million. After over 8 years of litigation with the major liable party, EPA and several government military defendants involving more than 30 expert witnesses, we secured an ability to pay settlement shortly before trial. 

      • Represented energy company in New York state court filed by neighboring property owner seeking recovery for alleged contamination.  

      • Represent water pollution control authority in federal Clean Water Act citizen suit, including state statutory and common law claims. 

      • Compliance and Permitting

      • Represents large manufacturing company with regard to remediation of formerly owned property. Issues include the recording of environmental covenants, soil and groundwater contamination, and potential vapor intrusion.

      • Counseled former nuclear fuel manufacturer on issues under the Comprehensive Environmental Response, Compensation, and Liability Act in connection with the decontamination and decommissioning of its manufacturing facility and grounds.

      • Other Experiences

      • Representation of a well-known diversified technology, media, and financial services company in deconstruction and remediation of a manufacturing facility with environmental, historic, and wetlands challenges in Bridgeport, Connecticut.

      • Environmental Enforcement

      • Represented Fortune 500 company in negotiating an administrative order with a state agency under the Resource Conservation and Recovery Act regarding contaminated property acquired though a business transaction. Negotiation resulted in a significant reduction in penalty as well as the incorporation of supplemental environmental projects.

      • Represented energy provider in administrative hearing before the New York City Office of Administrative Trials and Hearings resulting from an Environmental Control Board citation, securing dismissal of citation.

      • Transactions and Due Diligence

      • Represented large car dealership in a multisite real estate transaction involving contaminated properties that qualified as establishments under the Connecticut Transfer Act. After the transaction was complete, we assisted the client in managing the remediation of contaminated properties in accordance with state standards.

      • Represented national real estate investment group as outside environmental counsel for various environmental issues related to a portfolio of 19 light industrial properties in New York, Pennsylvania, Connecticut, Massachusetts, New Hampshire, Colorado, and Texas.

      • Health and Safety

      • Represented manufacturing client in responding to an OSHA citation containing multiple counts, including fall protection and machine guarding. Secured a favorable settlement after informal conference resulting in dismissal and significant reductions in citations and penalties.
