Shant Chalian is a member of the firm's Business Transactions Practice Group. Mr. Chalian's practice focuses on advising sponsors in connection with the formation of private equity and hedge funds of varying sizes and strategies, including buyout funds, co-investment funds, mezzanine funds, real estate funds, and venture capital funds, with an emphasis on funds exempt from registration under the Investment Company Act of 1940. He works closely with sponsors in preparing offering materials and drafting and negotiating partnership and subscription agreements, management agreements, and side letters. He also advises sponsors on compliance issues, including advice and guidance with respect to the registration of investment advisers and other ongoing operations issues that arise under the Investment Advisers Act of 1940. His experience and contacts in the industry allow him to constantly stay abreast of current market terms in this area.
Mr. Chalian works with financial and strategic buyers and sellers on mergers and acquisitions and other corporate transactions, including leveraged buyouts, recapitalizations, spin-offs, and cross-border transactions. He is intimately involved in drafting and negotiating both the acquisition and financing agreements for these transactions. As a trusted advisor, he provides sound advice and judgment to his clients.
Mr. Chalian works with private equity and venture capital groups and smaller private and start-up companies on seed, venture, and other early- to late-stage financings. As part of this practice, he drafts and negotiates purchase, shareholder, and investor rights agreements, employment agreements, charter documents, and option plans.
Mr. Chalian also represents issuers, underwriters, and selling shareholders in connection with public and private offerings of securities. He works with private and public companies on general corporate matters, including corporate governance matters and SEC reporting and disclosure obligations.
Prior to joining Robinson+Cole, Mr. Chalian was associated with Mayer Brown LLP in New York and was a partner at several highly regarded regional firms.
