Employee Benefits and Compensation

Robinson+Cole's Employee Benefits and Compensation Group provides comprehensive employee benefits services to a wide range of clients, including publicly held and privately held companies, tax-exempt organizations, educational institutions, municipalities and other governmental entities, trust companies, and financial institutions. We pride ourselves on providing benefit solutions that meet the business needs of our clients while promoting compliance with the myriad laws governing employee benefit plans. We believe that this practical approach serves our clients well, particularly in the current environment of increasing benefit costs and shrinking resources to provide those benefits.

We advise and support our clients on a wide range of employee benefit programs, including:

  • tax-qualified pension plans, including cash balance plans
  • tax-qualified profit-sharing plans, including 401(k) plans
  • employer plans covering unionized employees, including multiemployer plans
  • Section 403(b) and Section 457(b) plans of tax-exempt organizations and governmental entities
  • executive compensation arrangements, including equity and nonequity compensation and Section 409A compliance issues
  • health and welfare benefit plans, including compliance with HIPAA and health care reform
  • cafeteria plans
  • employee stock ownership plans
  • fringe benefit programs

We have extensive experience in designing, drafting, and amending pension and welfare benefit plans, as well as executive compensation arrangements. In recent years, a significant portion of our practice has focused on the identification and correction of plan compliance issues and the effective utilization of the correction programs sponsored by the Internal Revenue Service (IRS) and the Department of Labor (DOL). We frequently represent plan sponsors and fiduciaries in investigations and audits by government regulatory agencies, including the IRS, the DOL, the Pension Benefit Guaranty Corporation, and state agencies. In addition, we work closely with our litigation group to defend employers and fiduciaries in a wide range of benefits-based individual and class action claims. We assist our clients in issues relating to the administration of benefit plans, such as administratively resolving benefit claim disputes and negotiating business associate agreements and agreements with third-party service providers.

We also advise and work with clients on the complicated employee benefits issues arising in mergers, acquisitions, and other significant corporate transactions. We provide support before, during, and after the transaction, from the evaluation of benefit plans during the due diligence phase to the design and creation of postclosing benefit programs.

ERISA Claim Defense Blog

Robinson+Cole group members contribute to the ERISA Claim Defense Blog. Established in 2012 by Patrick Begos, who joined Robinson+Cole in January 2017, this platform offers commentary and insight on administration and evaluation and litigation of group benefits claims as well as other compliance and litigation issues involving ERISA.

      • Governmental Entities

      • Represented a large governmental entity regarding the possible implementation and administration of an arbitration award involving retirement benefits, including the submission of a private letter ruling request to the IRS on issues critical to the implementation of the award.
      • Assisted multiple municipalities with determining eligibility of contributions for “pick up” under Section 414(h) of the Code.
      • Represented a large municipality in addressing plan qualification issues raised during an IRS audit, including negotiation with the IRS, the drafting of new policies and procedures for multiple retirement plans, and communication with participants regarding such changes.
      • Advised several municipalities regarding the prefunding of retiree medical benefits through the creation of a 401(h) account, and the use of excess pension assets as allowed under Section 420 of the Internal Revenue Code.
      • Counseled a large municipality on a broad range of employee benefit matters, including its defined benefit and defined contribution plans, Section 457 plan, and retiree medical issues. We interacted with the town’s retirement board regarding benefit issues and have worked directly with the municipality in amending the town’s retirement ordinances.
      • Negotiated the issuance of a favorable determination on the tax-qualified status of a Native American tribe's defined contribution plan following the IRS’s assertion that the plan did not meet the qualification requirements of the Code.
      • Privately and Publicly Held Companies

      • Advised an NYSE public company with the planning, design, and implementation of a hard freeze of its cash balance plan and corresponding changes in its defined contribution plan design.
      • Counseled an NYSE public company with respect to its union and nonunion defined contribution plans, including the impact of acquisitions and an ongoing analysis of partial plan termination issues.
      • Advised a privately-held technology company with respect to the design, implementation, and administration of its stock, stock option, and stock equivalent programs.
      • Provided advice to a unionized corporation that participated in a multiemployer plan on a mechanism to reduce or avoid withdrawal liability while it was reducing its workforce.
      • Analyzed the deferred compensation and stock-based plans of an NYSE public company for compliance with Section 409A of the Internal Revenue Code and provided recommendations and advice with respect to plan design.

      • Performed HIPAA analysis for plan sponsor's group health plans, including drafting of policies and procedures and negotiation of business associate agreements.
      • Advised plan sponsor regarding consolidation of sponsor's multiple welfare benefit plans and cafeteria plan into a single "wrap plan" and drafted document for new plan.
      • Represented an insurance company with regard to its withdrawal from a multiple employer plan and establishment of a new defined benefit plan, including the design and drafting of such new plan.
      • Created a correction plan for a plan sponsor’s failure to properly administer its loan program and applied for and obtained a compliance statement for such correction through the IRS’s Employee Plans Compliance Resolution System.
      • Advised a plan sponsor with regard to its failure to timely remit participant contributions and assisted the sponsor to obtain a no action letter under the DOL’s Voluntary Fiduciary Correction Program.
      • Tax-Exempt Organizations

      • Served as outside employee benefits counsel to a large health care organization and assisted with executive compensation matters, including the design, drafting, and implementation of nonqualified deferred compensation programs for its executives.
      • Assisted a large hospital and health care system with respect to the design, drafting, and implementation of defined contribution plans, including the addition of a 403(b) plan.
      • Assisted a health care organization in reviewing its defined contribution plans for compliance with statutory requirements, developed correction strategies, and obtained approval of corrections through governmental correction programs.
      • Counseled a large hospital in employee benefits matters regarding its acquisition of another hospital in an integrated transaction.
      • Assisted large Connecticut-based hospital with complex RFP process involving a search for a retirement plan service provider and negotiation of a favorable administrative agreement.
