Real Estate + Development

Robinson+Cole's real estate practice is national in scope, encompassing the spectrum of real estate transactions, development, and financings. We represent clients in all sectors of the industry and have extensive experience in all fields of real estate practice. Clients include multinational corporations; institutional, public, and private lenders; retailers; state agencies; bonding authorities; schools; commercial and multifamily developers; health care institutions; hotel chains; and manufacturers.

In addition to our general real estate practice of project development, financing, conveyancing, and commercial leasing, Robinson+Cole has significant experience in tax-advantaged transactions, public/private ventures, waterfront development, municipal tax lien sales, affordable housing, sale-leaseback transactions, common interest communities, and telecommunications matters.

Robinson+Cole's real estate lawyers are active participants in national and local legal associations and real estate trade groups and are regular speakers and writers on real estate topics. We have assumed leadership roles in the American College of Real Estate Lawyers, CoreNet, the International Council of Shopping Centers, NAIOP, The Counselors of Real Estate, and the Real Estate Finance Association.

Nationally, our team of real estate lawyers regularly handle the following types of transactions and matters:
  • Acquisitions and sales on behalf of purchasers and sellers of all asset classes, including vacant land, improved commercial and industrial properties, health care facilities, and multifamily housing complexes
  • Leasing and subleasing on behalf of landlords and tenants of all asset classes, including office and retail space, warehouse and distribution facilities, restaurants, and industrial and manufacturing facilities; brokerage matters on behalf of landlords, tenants, and brokers, including commission and agency agreements and commission claims; and cable television and telecommunications licensing on behalf of landlords and tenants in commercial, industrial, and residential buildings
  • Development of commercial and industrial properties and multifamily housing complexes, including drafting and negotiating construction contracts on behalf of property owners, landlords, and tenants and handling zoning and land use matters, from the acquisition and planning phases through the operation of commercial, retail, industrial, master-planned residential, and mixed-use facilities
  • Real estate finance on behalf of lenders and borrowers, including acquisition, development, and construction loans; permanent commercial mortgage loans; and mezzanine and conduit loans, as well as creditors' rights, workouts, restructuring of loans, and mortgage banking issues
  • Environmental matters, including brownfield development, due diligence reviews and negotiation of risk allocation and transfer mechanisms, green building and lease issues, and environmental cleanups

    • Experience
      • Real Estate

      • Represented developer in the permanent financing of the commercial/retail phase one of Adriaen's Landing in Hartford, Connecticut, and in closing the construction loan for the residential apartments phase two. The parcel of land used for the Adriaen's Landing redevelopment is under state jurisdiction and required the collaboration of multiple state agencies and multiple ground leases.

      • Representation of a private financial/holdings company in connection with the disposition or redevelopment of property located at 300 to 310 Wilson Avenue in Norwalk, Connecticut. This representation included advice on local regulatory matters and a review of the permitting necessary for redevelopment.

      • Representation of United Technologies Corporation subsidiaries for various matters, including the purchase of a manufacturing and distribution facility in South Carolina; the sale of a manufacturing plant in Connecticut; the disposition and acquisition of commercial real estate located in California, Kansas, Michigan, Pennsylvania and Virginia; and assistance in complying with applicable Connecticut Transfer Act obligations in connection with a sale.
      • Representation of Rhode Island fire district in dispute with abutting property owner over access and development issues along dune. Successfully argued that abutting owner did not have rights across client's property.
      • Real Estate Finance

      • Representation of a regional affordable housing developer in connection with the rehabilitation of a former mill in East Hampton, Massachusetts, to be financed by a regional lender, together with federal, state, and historic tax credits and subsidy funds from the City of East Hampton CPA Grant, the Massachusetts Housing Partnership, and the Affordable Housing Trust Fund. The building will contain 50 units of affordable housing.

      • Represent the Capital Region Development Authority (CRDA) funding for two downtown apartment developments in the underwriting of low-interest loans and equity investments, for 201 Ann Street and 287-91 Asylum Street in Hartford, Connecticut. 201 Ann Street is the conversion of an existing office building trust that will be 22 one-bedroom market-rate units at a total construction cost of $4.38 million, and 287-91 Asylum Street is the conversion of an existing office building into studio, one-, and two-bedroom apartments at a cost of $1.7 million.
      • Represented a national lender providing a construction loan in the amount of $7.2 million to finance the development of 66 units of mixed-income rental units on property ground leased from the local housing authority in Massachusetts. This transaction involved several sources of subordinate financing sources, low-income housing tax credits, state grants, and local financing.
      • Represented a national lender providing a construction loan in the amount of $31,778,000 to finance the acquisition and rehabilitation of 190 units of multifamily low-income housing in a suburb of Boston, Massachusetts. The loan structure involved a tax-exempt bond financing as well as multiple sources of subordinate financing from the state and local government. Additionally, the project involved negotiating complex zoning and permitting issues related to the property's preexisting nonconforming zoning status.
      • Represented a regional lender providing a $9 million construction loan for the development of 40 multifamily low-income units in Cambridge, Massachusetts, on property being ground leased from a local nonprofit organizatoin. Negotiated complex matters related to the amendment of the ground lease and zoning and permitting issues to ensure development could be successfully constructed within local development regulations.
      • Representation of a national bank as construction lender providing a $17 million loan to a national developer of affordable housing for the rehabilitation of a two-building rental project containing 118 units in Lowell, Massachusetts. The project development financing included federal low-income tax credits through the construction lender's equity division, and the Massachusetts Housing Finance Agency provided the permanent bond financing.
      • Affordable Housing

      • Represent one of Connecticut's prominent trusts whose focus is to end homelessness both in Connecticut and nationally. Our affordable housing attorneys have partnered with our tax attorneys to represent the trust entering into a partnership with a national developer to rehabilitate the trust's two buildings in Hartford, which contain 115 affordable housing units leased to formerly homeless residents.
      • Representation of a regional affordable housing developer in connection with the rehabilitation of a former historic office building in Hartford, Connecticut, into a two-unit condominium, one of which will be the retail condominium and the other to be a condominium containing 63 units of rental affordable housing financed by a national lender with federal low-income tax credit equity, historic tax credits, and funds from the Capital Regional Development.

      • Representation of a regional affordable housing developer in connection with the construction of 72 units of senior housing in three buildings in Brookfield, Connecticut, to be funded by a national construction lender, including federal low-income tax credits and funds from the Connecticut Competitive Housing Association for Multifamily Properties.

      • Representation of a regional affordable housing developer in connection with the rehabilitation of a former mill in East Hampton, Massachusetts, to be financed by a regional lender together with federal, state, and historic tax credits and subsidy funds from the City of East Hampton CPA Grant, the Massachusetts Housing Partnership, and the Affordable Housing Trust Fund. The building will contain 50 units of affordable housing.

      • Other Experiences

      • Represented a national bank in its role as a lender for the Cambridge Housing Authority's (CHA) first four Rental Assistance Demonstration (RAD) conversion deals. The bank closed the tax-exempt bond financing for 511 units of public housing conversions under HUD's RAD program. The RAD program was created to give public housing authorities a tool to preserve and improve public housing properties by restructuring HUD subsidies into long-term contracts that facilitate the private financing of improvements. These first four transactions were part of a long-term project to convert all 2,129 of CHA's public housing units to RAD. 

      • Real Estate + Development

      • Represented national retailer in support of development of new retail store as part of a master planned development with multiple landowners. Drafted and negotiated a complex reciprocal easement agreement for access, drainage, and utilities in connection with an internal drive that crosses multiple properties with multiple owners. Drafted and negotiated construction agreement and related temporary easements and development restrictions in connection with internal driveway and separate commercial developments within the master plan area.
